When large public corporations send out annual meeting and proxy notices, they will always include the disclaimer about other issues, it is important, in that it serves as a notice to those who may not be attending that issues can be voted on that were not in the original notice and will be voted on as per terms of the proxies be they your own or management solicited. Consider that issues requiring a vote can arise after the packets are printed and mailed, and after online voting commences.

Yep. As I explained earlier in this thread, the Agenda can be modified in course of the meeting and that may result in discussion of and votes on new matters subject of course to any restrictions specified in the organization's P&P and Bylaws. For example in an RPA Council Meeting there are certain types of motions that are not allowed by the Bylaws, so an Agenda cannot be modified to include such actions.
 
A few of the ones I go to have very tight provisions on adds and changes to the nominations and process/timeline for agenda items but must have flexibility for special circumstances. Usually, there is a provision to take a nomination or item if approved by 2/3 vote, and it is not uncommon for someone to be elected to a position, thereby leaving a vacancy which obviously no one had been previously running for since it wasn't open. Or a law or administrative body makes changes that we are required to include which were not previously set.
